VIGILANTMIND AI™ USER AGREEMENT & TERMS OF SERVICE

This User Agreement (“Agreement”) is entered into between:

VigilantMIND AI™ (“Company”, “we”, “us”, or “our”)
and
You (“User”, “you”, or “your”)

By accessing or using our website, platform, or services (collectively, the “Services”), you agree to be bound by this Agreement. If you do not agree, you must not use the Services.

✅ ACCEPTABLE USE

You agree to:

• Use the Services for lawful and ethical purposes only

• Apply outputs responsibly and with appropriate human judgment

• Respect the privacy and rights of others

❌ PROHIBITED USE

You may NOT use the Services to:

• Engage in illegal, harmful, or fraudulent activities

• Exploit vulnerabilities or individuals

• Engage in discrimination, harassment, or abuse

• Generate misleading, deceptive, or harmful content

• Reverse engineer, manipulate, or interfere with the platform

1. DESCRIPTION OF SERVICES

VigilantMIND AI™ provides AI-powered risk intelligence, including:

• Risk scoring and analysis

• Behavioral, digital, and environmental risk insights

• AI & Data Integrity Policy™ downloads

• Consulting, assessments, and related services

The Services are provided for informational and risk-awareness purposes only.

2. USER RESPONSIBILITIES

You agree to:

• Use the Services in compliance with all applicable laws

• Maintain the confidentiality of your account credentials

• Not misuse, disrupt, or attempt to exploit the platform

You may NOT:

• Reverse engineer, copy, or replicate the platform

• Misrepresent your identity or submitted data

3. AI LIMITATIONS & NO GUARANTEES

You acknowledge that:

• AI outputs are predictive and probabilistic, not guaranteed

• Results may be incomplete, inaccurate, or subject to change

• The Services do NOT guarantee prevention of:

  • Cyber incidents

  • Identity theft

  • Data breaches

  • Behavioral outcomes

You are solely responsible for decisions made based on the Services.

4. NOT PROFESSIONAL OR INSURANCE ADVICE

The Services:

• Do NOT constitute legal, financial, cybersecurity, or medical advice

• Do NOT replace professional consultation

• Do NOT provide insurance coverage

VigilantMIND AI™ is not an insurance provider.

5. RISK SCORE DISCLAIMER

Your Risk Score:

• Is an informational indicator only

• Does not represent a definitive measure of safety or risk

• Should not be relied upon as the sole basis for decisions

6. PAYMENTS & REFUNDS

• Fees are listed in USD unless otherwise stated

• Payment is due at the time of purchase

• All sales are final unless otherwise stated

We reserve the right to modify pricing at any time.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, VigilantMIND AI™ shall not be liable for:

• Indirect, incidental, or consequential damages

• Loss of data, profits, or business opportunities

• Security incidents, breaches, or identity theft

Your use of the Services is at your own risk.

11. INDEMNIFICATION

You agree to indemnify and hold harmless VigilantMIND AI™ from any claims, damages, or losses arising from:

• Your use of the Services

• Your violation of this Agreement

• Your misuse of data or outputs

12. TERMINATION

We may suspend or terminate your access if you:

• Violate this Agreement

• Misuse the Services

• Pose a risk to the platform or others

You may discontinue use at any time.

13. MODIFICATIONS TO TERMS

We may update this Agreement at any time. Continued use of the Services constitutes acceptance of updated terms.

14. GOVERNING LAW

This Agreement is governed by the laws of the State of Pennsylvania, United States.

15. DISPUTE RESOLUTION

Disputes shall be resolved through:

• Good faith negotiation

• Binding arbitration (if unresolved)

You waive the right to participate in class action lawsuits.

16. NO WARRANTY

The Services are provided “AS IS” and “AS AVAILABLE.”

We do not guarantee:

• Continuous availability

• Error-free operation

• Complete accuracy

17. CONFIDENTIALITY & NON-DISCLOSURE

17.1 Definition

“Confidential Information” includes all non-public information, including:

• Algorithms, models, and methodologies

• Reports and AI-generated outputs

• Business processes and strategies

17.2 Obligations

You agree to:

• Maintain confidentiality

• Not disclose or distribute such information

• Use it only for authorized purposes

17.3 Restrictions

You may NOT:

• Use Confidential Information competitively

• Train AI systems using platform outputs

• Reverse engineer proprietary processes

17.4 Survival

These obligations survive termination.

Confidentiality clauses are critical to protect sensitive business and technical information even after a contract ends

​18. ENFORCEMENT & REMEDIES

Violations may result in:

• Immediate termination

• Legal action

• Injunctive relief

• Financial damages

19. ACKNOWLEDGMENT

By using the Services, you acknowledge:

• The platform contains proprietary technology

• Unauthorized use is strictly prohibited

• You agree to comply with all terms herein
